Series Limited Liability Companies
These forms are to be used strictly for formation and amendments to Series Limited Liability Companies. The forms indicate the correct filing fees, including those additional fees associated with Series LLCs.
Pursuant to statute, Series LLC filings go into effect November 15, 2020, and can be filed starting when the office opens at 8:00am central time Monday, November 16, 2020.
Domestic Series LLCs:
Domestic Forms are used by organizations incorporated IN South Dakota.
- Master/Parent LLC
- Articles of Organization
- Amended Articles of Organization (This is the form to use to amend a previously registered LLC and allow them to create series)
- Articles of Termination (Note: Terminating a Master LLC will also terminate all associated series LLCs)
- Series/Child LLC
The rest of the forms for Limited Liability Companies will also apply to Series LLCs.

- Annual Report
- File Online
- File by Paper (*fee includes the additional $15 paper filing fee)
- Statement of Change of Registered Office or Registered Agent or Both
- File Online
- File by Paper (*fee includes the additional $15 paper filing fee)
- Amended Annual Report
Foreign Series LLCs:
Foreign Forms are used by organizations whose state of incorporation is NOT South Dakota.
- Master/Parent LLC
- Certificate of Authority
- Amended Certificate of Authority< (This is the form to use to amend a previously registered LLC and allow them to create series)
- Cancellation of Certificate of Authority (Note: Cancelling a Master LLC will also cancel all associated series LLCs)
- Series/Child LLC
- Pursuant to statute, a Foreign Series/Child LLC can also choose to apply for a Certificate of Designation even if their Master is not qualified in South Dakota.
Series/Child LLC (with Unqualified Master LLC)
